NORFOLK SOUTHERN VOTE RECOMMENDATIONS
FOR IMMEDIATE RELEASE
Free Float Analytics, provider of director performance attribution data and governance analysis, makes the following recommendations for the May 9, 2024 Norfolk Southern AGM.
“Investors that want to make a statement that the status quo and old culture vibe of NSC needs to stop with a focus on fewer accidents, more efficiency, and a data driven approach to railroading should vote:
NO to Alan Shaw
NO to Amy Miles
NO to Marcela Donadio
YES to Ancora slate director Bill Clyburn Jr
YES to Ancora slate director Sameh Fahmy
YES to Ancora slate director Allison Landry
NO to remaining Ancora slate, YES to remaining NSC slate.
For the Say on Pay Proposal, vote NO, as a pay raise from a committee where half the members are stepping down in one of the company’s worst performing years makes no logical sense.
For the shareholder proposal Transparency in Lobbying, vote YES given NSC has more legal and compliance roles on the executive team than most companies outside law firms and there is a history of lobbying in the sector, transparency is a positive development.”
